The client represents and warrants that all documentation and information provided (including proposed company names, beneficial ownership percentages, identity records, and residential addresses) are true, accurate, and genuine. Providing forged documents or false declarations constitutes a material breach and will result in immediate termination of registered agent representation and notification of state authorities.
When an order includes Registered Agent service, File and Formed acts as the designated statutory address to receive Service of Process and official state notices during normal business hours. The commercial registered agent address may not be advertised as a public physical storefront without an active mail scanning and commercial lease addendum.
State filing fees paid directly to statutory authorities (such as state corporate registries and Companies House) are non-refundable once the filing has been transmitted to the state. Approval timelines quoted on the website represent average historical government turnaround times and cannot be guaranteed against unforeseen government agency backlogs or holiday closures.
The client acknowledges that maintaining a corporate entity in good legal standing requires timely payment of mandatory state franchise taxes and registered agent renewals. File and Formed dispatches automated reminder notifications, but the legal responsibility to maintain compliance rests with company management.
These terms and all transactions hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
